7. Project Engagement

Projects commence only after written approval and satisfaction of agreed commercial requirements, including any advance payment where applicable.

8. Pricing & Estimates

Quotations are based on information available at the time of estimation. Changes in project scope, technical requirements, third-party integrations, compliance obligations, or timelines may require revised estimates.

9. Client Responsibilities

Clients are responsible for providing accurate requirements, timely approvals, project assets, credentials, lawful content, licenses, and reasonable cooperation throughout the engagement.

10. Change Requests

Any request outside the agreed scope may be treated as a change request and may result in revised pricing, timelines, or deliverables after mutual approval.

11. Payment Terms

Invoices shall be payable according to the agreed proposal or contract. Failure to make timely payments may result in suspension of services until outstanding balances are settled.

12. Non-Refundable Payments

Unless otherwise agreed in writing or required by applicable law, payments made for completed milestones, consulting services, discovery sessions, development work already performed, licenses, subscriptions, domain registrations, hosting services, or third-party purchases are non-refundable.

13. Suspension or Termination

We reserve the right to suspend or terminate services where payments remain overdue, unlawful activities are detected, abusive conduct occurs, or contractual obligations are materially breached.

14. Confidentiality

Each party agrees to maintain the confidentiality of proprietary, technical, commercial, financial, and business information received during the course of an engagement. Confidential information shall not be disclosed to third parties except where required by law or with prior written consent.

15. Intellectual Property & Source Code

Unless otherwise agreed in a signed agreement, Agile Digital Edge retains ownership of its pre-existing intellectual property, development methodologies, reusable components, frameworks, utilities, templates, know-how, and proprietary tools. Ownership of custom-developed deliverables shall transfer only after full payment of all applicable invoices unless otherwise agreed in writing.

16. Third-Party Software and Services

Projects may incorporate third-party software, APIs, SDKs, plugins, hosting providers, payment gateways, AI services, or open-source components. Such services remain subject to their own licenses and terms. Agile Digital Edge is not responsible for changes, outages, pricing updates, or discontinuation of third-party services.

17. Open Source Components

Where open-source software is used, it remains governed by its respective license. Clients agree to comply with all applicable open-source license obligations.

18. Warranties Disclaimer

The website and services are provided on an 'as is' and 'as available' basis unless expressly stated otherwise in a written agreement. Agile Digital Edge disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

19. Limitation of Liability

To the fullest extent permitted by law, Agile Digital Edge shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising from the use of the website or services. Aggregate liability, where applicable, shall not exceed the amount actually paid by the client for the specific services giving rise to the claim unless prohibited by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Agile Digital Edge, its directors, employees, contractors, affiliates, licensors, and partners from claims, damages, liabilities, losses, expenses, and legal costs arising from your misuse of the website, violation of these Terms, infringement of third-party rights, or unlawful content supplied by you.

These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute not resolved amicably shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over Agile Digital Edge's registered office unless otherwise agreed in writing.

24. Arbitration

Where permitted by applicable law and agreed by the parties, disputes may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with proceedings conducted in English.

25. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain fully enforceable.

26. Waiver

Failure by Agile Digital Edge to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.

27. Assignment

Clients may not assign or transfer their rights or obligations under these Terms without prior written consent. Agile Digital Edge may assign its rights and obligations as part of a merger, acquisition, restructuring, or transfer of business assets.

28. Entire Agreement

These Terms, together with any signed proposal, quotation, statement of work, service agreement, privacy policy, and any mutually executed written amendments, constitute the complete agreement relating to the use of the website and associated services.
